MyIndicators Terms & Conditions

1. General

These Terms and Conditions constitute a binding agreement (the "Agreement") between MyIndicators 46 AB (“MyIndicators”), reg. No. 556991-0846 on the one hand, and the user and / or purchaser of MyIndicators Service ("Customer"), on the other hand.

Please read these Terms & Conditions carefully. By signing up to the Service, this agreement is valid and you as a Customer are stating that you have read, understand, and agree to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, you are not permitted to use MyIndicators Service.

MyIndicators 46 AB provides you as a Customer with MyIndicators Service, in which the Customer defines, collects and analyzes their own structured information, stored on MyIndicators web servers (the "Service").

The Service is reached at www.myindicators.net and MyIndicators undertakes to provide the Customer access to the Service. Support is only made available to Customers who have entered into agreements on paid versions of the Service and is not included in the trial version. In case of outages, interference or failure in service the Customer contacts MyIndicators. MyIndicators then tries to solve the issue as soon as possible. The customer has no right to claim compensation due to any outage or failure in Service.

Customer that signs up as a private person is entitled to in accordance with the Distance Selling Act, exercise its right to withdraw from the sign up if communicated within 14 days of the Agreement concluded

2. Customer agreement

The Customer agrees not to use the Service to violate any local, state, national, or international law or regulation.

The Customer agrees not to use the Service to harm, slander or defame any other person or any religious, ethical, racial, sexual or political orientation.

The Customer agrees not to use the Service to spam by email or phishing for credit card sensitive information, get social security numbers, personal identification, login credentials and similar sensitive information from other persons.

The Customer agrees not to use the Service to violate copyright law.

The Customer is responsible for ensuring that the user name and password to the Service are stored in a secure manner and protected from third parties. The customer is responsible for any unauthorized use of the Customer's user name and password to the Service.

The Customer agrees that MyIndicators may terminate the Service immediately if any of the above agreements are violated.

3. Payment Terms

Customer that has signed up for a paid version of the Service makes payment in accordance with MyIndicators price model posted on MyIndicators website. Liability for the Service occurs when the customer signs up for an account for the paid version of the Service. MyIndicators reserves the right to at any time unilaterally change the prices of the Service

Customer that signs up for an account of a paid version of the Service as described above, are not settled any remaining trial time.

In connection with the sign up for a paid version account of the Service, the Customer must specify the period of payment for the Service (monthly or annually), and payment method.

The subscription of the Service is automatically renewed after a notification has been send out 6 weeks before expiring date. To stop the renewal of the subscription the Customer must send MyIndicators an email to hello@myindicators.se one week before the expiring date cancelling the renewal.

All payments to MyIndicators must be paid in advance unless otherwise stated. In the event that the Customer does not have coverage for the payment of the specified credit card or bank account, MyIndicators may close all or part of the Service until the payment is done. If the Customer does not pay, despite a reminder, MyIndicators has the right to immediately terminate the service and the agreement.

The payment is not refundable in conjunction with the section Termination in this Agreement nor if the Customer downgrade, regardless of the cause of the Termination or downgrade and regardless when this happens. This does not apply if the Customer exercises his/her right of withdrawal according to Distance Selling Act.

4. Indicators visualizations and collected data.

MyIndicators does not claim ownership of any information, data, text, music, sound, photographs, graphics, video, messages, tags, or other materials the Customer collects in the Service. As between MyIndicators and the Customer, the Customer owns all rights to their Indicators, Visualizations and Collected Data.

MyIndicators will not distribute or use account information or Collected Data in any way. The Customer agrees that the Customer is solely responsible for all of their Indicators, Visualizations and Collected Data.

5. Trademarks.

MyIndicators is under the process of applying for a registered trademark of MyIndicators 46 AB. The MyIndicators logo is a trademark of MyIndicators 46 AB. You are not authorized to use any such trademarks. Ownership of all such trademarks and the goodwill associated therewith remains with MyIndicators.

6. Termination

The Customer agrees that MyIndicators may terminate the Service or suspend the access to all or part of the Service, without notice, if MyIndicators determines, in its sole and absolute discretion, that the Customer has violated these Terms & Conditions. Further, the Customer agrees that MyIndicators shall not be liable to the Customer or any third party for removing their Data or terminating their access to the Service.

7. Modifications To Terms

MyIndicators may, in its sole and absolute discretion, change these Terms & Conditions from time to time. MyIndicators will send an email and post notice of such changes on the webpage www.myindicators.net. If the Customer is object to any such changes, their sole recourse shall be to cease using the Service. Continued use of the Service following notice of any such changes shall indicate the Customer’s acknowledgement of such changes and agreement to be bound by the Terms & Conditions of such changes.

8. Changes in the Service

MyIndicators reserves the right to modify the Service with or without notice to the Customer. MyIndicators shall not be liable to the Customer or any third party should MyIndicators exercise its right to modify or discontinue the Service

9. Disclaimer of warranties.

The Customer understands and expressly agrees that use of the Service is at their sole risk. The Service is provided on an "as is" and "as available" basis. MyIndicators expressly disclaims all warranties of any kind, whether expressed or implied, with respect to the Service (including, but not limited to, the implied warranties of merchantability, fitness for a particular use or purpose, and non-infringement). MyIndicators makes no warranty that the Service will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error free. The Customer understands and agrees that any material and/or information collected, downloaded or otherwise obtained through the use of the Service is done at their own discretion and risk and that the Customer will be solely responsible for any damage arising therefrom. No advice or information, whether oral or written, obtained by the Customer from MyIndicators or through the Service shall create any warranty not expressly made herein.

10. Limitation of liability.

The Customer understands and expressly agrees that, to the extent permitted under applicable law, in no event will MyIndicators or its officers, employees, directors, shareholders, parents, subsidiaries, affiliates, agents, or licensors be liable under any theory of liability (whether in contract, tort, statutory, or otherwise) for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of revenues, profits, goodwill, use, data, or other intangible losses (even if such parties were advised of, knew of, or should have known of the possibility of such damages), resulting from the Customers (or anyone using the Customers account's) use of the Service.

11. Exclusions and limitations.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations and disclaimers in these Terms & Conditions may not apply to you. To the extent that MyIndicators may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of MyIndicators. Liability shall be the minimum permitted under such applicable law.

12. Indemnification

The Customer agrees to indemnify, defend, and hold harmless MyIndicators, its parents, subsidiaries, affiliates, officers, directors, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys fees) that such parties may incur as a result of or arising from (a) any information (including, without limitation, your Indicators, Visualizations, Data Collections or any other content) the Customer (or anyone using the Customers account) submits, posts, or transmits through the MyIndicators Service, (b) the Customer (or anyone using the Customers account's) use of the Service, (c) your (or anyone using the Customers account's) violation of these Terms & Conditions, and (d) the Customer (or anyone using the Customers account's) violation of any rights of any other person or entity.

13. Miscellaneous.

These Terms & Conditions constitute the entire and exclusive and final statement of the agreement between the Customer and MyIndicators with respect to the subject matter hereof and supersede any prior agreements or negotiations between the Customer and MyIndicators with respect to the subject matter hereof. These Terms & Conditions and the relationship between the Customer and MyIndicators shall be governed by Swedish laws as applied to agreements made, entered into, and performed entirely in Sweden by Stockholm court, notwithstanding the Customers actual place of residence. All lawsuits arising from or relating to these Terms & Conditions or the Customers use of the Service shall be brought in the Swedish court, and you hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose. The failure of MyIndicator to exercise or enforce any right or provision of these Terms & Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms & Conditions is found by a court of competent jurisdiction to be invalid, you nevertheless agree that the court should endeavor to give effect to the intentions of MyIndicators and the Customer as reflected in the provision, and that the other provisions of these Terms & Condition remain in full force and effect. The Customer agrees that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these Terms are for convenience only and have no legal or contractual effect.
